CONSTITUTION

OF

NANJING UNIVERSITY 

ALUMNI ASSOCIATION (UK)

Chapter 1 General provisions

 

I. The English name of this association is: NANJING UNIVERSITY ALUMNI ASSOCIATION (United Kingdom). English abbreviation: NJUAA-UK.

II. The Association is a non-political and non-profit social organization, which is spontaneously established by Nanjing University alumni in United Kingdom. It follows Nanjing University’s motto: " Sincerity with Aspiration, Perseverance and Integrity", and aims to promote exchanges and friendships among Nanjing University's alumni in UK; provide an effective platform of communication and development for its members; and contribute to the international exchanges, international frame and honour of Nanjing University. 

III. Our vision is "one window, one platform, one home": the "window" of Nanjing University's international promotion, exchange and cooperation; the "platform" of communication, exchange and development among alumni in UK; and the "home" of British alumni and visiting staff from Nanjing University.

 

​IV. The Association will abide by relevant laws, regulations and policies, as well as respecting the traditions and social ethics of China and Britain. Its activities and operations accept guidance and supervision of the Nanjing University Alumni Association.

 

Chapter 2 Scope of activities

 

V. This association’s scope of activities:

  1. Strengthen the connections between British alumni, alumni at home and abroad. Contributing to cooperation and exchanges in education, scientific research and culture;

  2. Strengthen information communication between alumni, and promote international cooperation and exchanges for Nanjing University;

  3. Taking the Alumni Association as a platform to assist Nanjing University in recruiting international talents;

  4. Assisting Nanjing University in collecting alumni’s suggestions about school reform and development;

  5. Assisting Nanjing University in collecting and collating school history materials, as well as alumni information;

  6. Editing the Address Book of Nanjing University (UK), so as to facilitate the communication among alumni;

  7. Working on the construction and maintenance of the Alumni Association’s website;

  8. Other activities that can promote exchanges and liaison among members, and development of the Association.

 

Chapter 3 Membership

 

VI. People who want to apply for a membership of this association need to meet the following criteria:

  1. Willing to take apart in Nanjing University Alumni Association (UK);

  2. Pursuing a degree, work or residence in the United Kingdom for at least 3 months;

  3. Any Nanjing University alumni who meets one of the following criteria can apply for a membership:

(1). Graduates, people who ever studied in school, trainees, night-school students, correspondence students, self-study students, online-education students, foreign students, etc. who have studied at Nanjing University, National Central University, Jinling University or their affiliated institutions.

(2). Previous university faculty or non-academic staff of Nanjing University, Central University, Jinling University or their affiliated institutions.

(3). Individuals with honorary degrees from Nanjing University; honorary professors, part-time/consultant professors, visiting scholars or other part-time personnel employed by Nanjing tors;

(4). Current students, university faculty or non-academic staff of Nanjing University.

 

VII. Membership application procedure:

  1. to apply for the membership, you need to submit an application to the secretariat of Nanjing University Alumni Association (the United Kingdom) with one of the relevant certificates including graduation certificate, completion certificate, certificate of university attendance, certificate of employment or employment letters, etc.;

  2. The council of Nanjing University Alumni Association (the United Kingdom) will review the membership application to make a decision;

  3. Individuals who have been approved a membership of Nanjing University Alumni Association (the United Kingdom) must have the required personal information registered and updated regularly.

VIII. Members' rights:

  1. Members who are at least 18 years of age have the right to vote, the right of election within the association;

  2. Participate in the activities held by the association;

  3. Have the priority in obtaining the services from the association;

  4. Make suggestions to, criticize and supervise the work of the association;

  5. Freedom of the membership application and withdrawal.

 

IX. Members' obligations: Members of the association are required to fulfil the following obligations. Once violated, the membership of the relevant individuals can be terminated with the approval from the council of the association. At the same time, the rights to pursue legal liability (including but not limited to compensation for damage) shall be retained.

  1. Obey the Articles of Nanjing University Alumni Association (the United Kingdom) and actively participate in the activities of the association;

  2. Actively promote the communication of Nanjing University alumni in the United Kingdom;

  3. Protect the rights, the interests and the reputation of Nanjing University and Nanjing University Alumni Association. Any activities that violate the principle of the association, damage the reputation of the association or impede the normal operations of the association, once being noticed, shall be reported promptly to the association (or the secretariat of the association);

  4. Without the permission from the council of the association, engaging in any activities that are unrelated to the association but in the name of the association is not permitted;

  5.  Inform the secretariat of the association or the council of the association if one wish to withdraw their membership.

 

Chapter 4: Organisations and Institutions

 

X. The highest authority of the association is the representative assembly of the association members. The executive body of the representative assembly is the council. The council leads the daily work of the representative assembly when the representative assembly is not in session and is responsible to the representative assembly of the association members. There is a supervisory institution of the association, which supervises the activities of the association and is responsible to the representative assembly of the association members.

 

XI. The member representative assembly must be attended by more than 2/3 of the representatives. The resolution must be approved by more than half of the member representatives. Validity of member representative for each session lasts for 5 years. In case of special circumstances that need to be changed in advance or postponed, it shall be approved by the association council and the extension shall not be longer than one year. The notice time of the member representative assembly shall be no less than two weeks before the start of the meeting and posted on the Alumni Association website.

XII. The functions of the member representative assembly are:

  1. Formulate and amend the constitution;

  2. Election and removal of council member;

  3. Electing a supervisory institution;

  4. Review the work report and financial report of the council;

  5. Making decides on termination of activities;

  6. Decide on other major issues.

XIII. In principle, the association council shall be convened by the president or may be convened by the vice president and the secretary general under the entrustment of the president. Any meeting shall notify the council member at least three days in advance. The meeting of association council must have 2/3 or more council members to attend. The resolution must be approved by more than 2/3 of the members of the council. The council meeting should be held at least once a year. In special cases, it can also be held in the form of teleconference.

 

XIV. The authority of the council is:

  1. Preparing to convene a member representative meeting;

  2. Election and removal of the President, Vice President and Secretary-general;

  3. Recruit Honoured President and Counsellors;

  4. Council member adjustments;

  5. Implementing the resolutions of the member representative assembly;

  6. Deciding the absorption and removal of association members;

  7. Adjust function department of this association;

  8. Leading the work of the institutions of the association;

  9. Reporting the work and financial status to the member representative assembly;

  10. Decide on other major issues.

 

XV. The birth of council members and supervisors:

  1. The council needs to have broad representative and the number of council member should be no less than ten;

  2. The candidates for council members and supervisors must be members of the association;

  3. The candidates for council members and supervisors shall be elected by the nomination committee composed of the previous session of the association council, or may be self-recommended by the members to the nomination committee;

  4. The list of candidates for council members and supervisors shall be submitted to the member representative assembly for election after 5 working days of publicity;

  5. The candidates for the first council member and supervisors are recommended by the Preparatory Committee of the NANJING UNIVERSITY ALUMNI ASSOCIATION (United Kingdom).

  6. If the candidate is found to have unacceptable behaviour such as resume falsification, the nomination committee will immediately cancel the candidacy.

 

XVI. The supervisory board has the following rights:

  1. Report the supervisory work to the member representative assembly;

  2. Supervise the election and dismissal of the members of the representative assembly and the council;

  3. The supervisory board and the Secretariat shall abide by the laws and the constitution of the Association, and implement the resolutions of the member representative assembly;

  4. To inspect the financial information and accounting materials of the Association;

  5. To attend council meetings and have the right to question and suggest to the council and the secretariat.

 

XVII. The president, vice president and secretary-general of the Association shall serve for a term of five years and the term of office shall not exceed two terms. If it is necessary to extend the term of office due to special circumstances, it must be approved by 2/3 members of the member representative assembly. The president of the Association is the legal representative and signs important documents on behalf of the Association. Due to special circumstances, subject to the authorization of the president and approval of the council, the vice president or secretary-general may act as the legal representative.

 

XVIII.Regional sub-associations

  1. Considering the geographical distribution of alumni within the Association, subject to the approval of the council, regional sub-associations may be established to share the platform and related resources;

  2. Each sub-association accepts the leadership of the council and follows its own constitution. Major events must be reported to the council for approval. In the meantime, records will be reported to Nanjing University Alumni Association;

  3. Each sub-association may, subject to the approval of the election committee, nominate candidates of the Council for the following term. In principle, the number of candidates nominated by each sub-association will be the same.

 

Chapter 5 Asset Management and Principles of Usage

 

XIX. Sources of funding for the Association:

  1. Donations from alumni and the public;

  2. Income from events prescribed in the scope of activities;

  3. Interest of bank deposits;

  4. Other legal income.

 

XX. The funds of the Association shall be used for organising events prescribed in the scope of the activities and shall not be distributed among members.

 

XXI. Asset management

  1. The Association establishes a strict financial management system to ensure that accounting materials are legal, authentic, accurate and complete.

  2. The president is held responsible for the finance of the Association, and the secretary-general shall be responsible for implementation. The funds and accounting will be managed in a strictly separate manner.

  3.  All income and expense shall be clearly recorded, and the financial details shall be reported to the council on a regular basis. The financial summary is reported to all members every six months. Important matters on this shall be published on the website of this Association and accepted strict inspection by alumni.

 

Chapter 6 Constitution amendments

 

XXII. The amendments to the constitution shall be submitted to the member representative assembly for deliberation after being approved by the association council. Before submitting to the member representative assembly, it is required to be publicized for ten days, accepting the members' inquiries and suggestions for revision. It will be officially effective after it has been passed at the member representative assembly.

 

Chapter 7 Supplementary

 

XXIII. This constitution was adopted by the Preparatory Committee of the Nanjing Alumni Association of Nanjing University on January 14, 2019; it was published on the website of the Alumni Association from January 15 to 25, 2019. It was voted by the member representative assembly on January 26, 2019 and became effective afterwards.

 

XXIV. The constitution is written in both Chinese and English. If there is any conflict, use the Chinese version as standard version, which has legal power.

 

XXV. The interpretation right of this constitution belongs to the Council of the Association.
